Nel Terms of Service
Nel is not an emergency service. If you or someone near you is in danger, call 112 (EU) or your local emergency number. In Poland you can also call the adult helpline 116 123 or 24/7 support 800 70 2222. Nel does not assess crisis situations and does not notify anyone.

1. Definitions
- Operator – the entity named in section 2 that provides the Service.
- App or Nel – the Nel mobile app for iOS and Android together with its backend.
- Service – the electronic service provided through the App: journaling, AI-generated replies, Nel’s memory, summaries, habits, courses, reminders.
- User or you – an adult natural person using the App.
- Consumer – a User using the Service for purposes outside their trade or profession.
- Store – Apple App Store or Google Play.
- Subscription – paid, auto-renewing access to the Service purchased through a Store.
- Content – everything you type into the App: entries, onboarding and quiz answers, habit names, memory edits.
- AI Content – replies, memory entries, summaries and reports generated by language models from your Content.

3. What Nel is and is not
Nel is a journal that replies and remembers. You write about your day, the App generates a reply, remembers important context, suggests a small step for tomorrow and after a few days prepares a summary. Replies and summaries are produced with artificial intelligence models.
Nel is not:
- a medical, psychological or psychotherapeutic service, and the Operator is not a healthcare provider;
- a medical device, and it is not intended to diagnose, treat or prevent any disease;
- a person: Nel is a computer program, and its “memory” and “replies” are the output of a language model;
- a crisis intervention service. The App may recognise content that suggests danger and show helpline numbers, but it does not assess the situation, does not react in real time and does not contact anyone on your behalf.

4. Conditions of use
- Only persons aged 18 or over may use the App. By creating an account you confirm that you are an adult.
- You need a device running a version of iOS or Android supported by the Store, an Apple or Google account, internet access and an active Subscription. Data transfer costs are yours under your contract with your carrier.
- The contract for the Service is concluded when you create an account and accept these Terms. The Subscription contract is concluded when you confirm the purchase in the Store.
- These Terms and the Privacy Policy are available before account creation, in the App and on this website.
5. Account
- You create an account by signing in with Apple or Google. There is no separate Nel password; the security of your Apple or Google account is governed by those providers’ terms.
- One account is for one person. Do not share your account.
- You can delete your account at any time in the App (“Delete account”) or by request to the address in section 2. This deletes all your data as described in the Privacy Policy and is irreversible. Deleting the account does not cancel the Subscription: cancel it separately in the Store (section 6.6).
- You can also delete the data alone (entries, memory, summaries) while keeping the account and Subscription (“Delete all data”).
6. Subscription and payments
- The Service is entirely paid. There is no free plan and no trial period. Without an active Subscription you can complete the initial setup but cannot use the journal, replies or other features.
- Available plans are a weekly Subscription and a yearly Subscription, plus a yearly plan with a higher usage limit (section 8). Current prices, billing periods and currency are shown in the App and in the Store before you confirm the purchase. Prices include VAT.
- Payment is processed by the Store under the Store’s terms, using the payment method on your Apple or Google account. The Operator does not receive your card details.
- Automatic renewal. The Subscription renews automatically for another period of the same length, and the fee is charged up to 24 hours before the end of the current period, unless you turn off renewal at least 24 hours before it ends.
- We will inform you of a price change in advance through the Store. Under Store rules a price increase may require your explicit consent; if you do not give it, the Subscription ends at the end of the paid period.
- Cancellation. Turn off renewal at any time in the Store’s subscription settings (iOS: Settings → your name → Subscriptions; Android: Google Play → Payments and subscriptions). Access continues until the end of the paid period. Deleting the App from your device does not cancel the Subscription.
- Restoring purchases. After changing device or reinstalling, use “Restore purchases” in the App while signed in to the same Store account.
- After the Subscription expires your data stays on your account until you delete it. When you subscribe again you regain access to it.
7. Withdrawal and refunds
- The Subscription contract is a contract for the supply of digital content and a digital service concluded through the Store. The seller within the meaning of the Store’s terms is the Store operator (Apple or Google), which handles payments, invoices and refunds.
- As a Consumer you have the right to withdraw from a distance contract within 14 days without giving a reason. Because the Service is made available immediately after purchase, the Store asks for your consent to start performance before the withdrawal period ends and informs you that you lose the right of withdrawal in that respect, in line with Art. 16(m) of Directive 2011/83/EU and Art. 38 of the Polish Consumer Rights Act.
- Refund requests are made in the Store: Apple at reportaproblem.apple.com, Google through Google Play. The Store decides under its own rules. The Operator cannot itself refund a payment collected by the Store, but will help you contact the Store on request.
- Regardless of Store rules, if the Service does not conform to the contract (for example it does not work despite an active Subscription), you have the statutory remedies for digital content: bringing it into conformity, a price reduction or withdrawal. Report this through the complaints procedure in section 15.
8. Usage limits
- Every reply from Nel and every summary requires an AI model call, which costs money. Each plan therefore has a usage limit: a daily limit of replies in the conversation and a total limit per billing period. The higher-limit plan has correspondingly higher values. Current limits are described in the App on the plan screen.
- When the daily limit is reached your entry is saved and Nel replies when the limit resets. History, memory, habits, courses and helpline numbers always work, because they need no model.
- Limits exist to keep the price fixed and to prevent abuse. We do not reduce them during a paid period.
9. Rules of use
When using the App you may not:
- submit unlawful content, including content that infringes third-party rights or incites violence;
- use the App to generate content for third parties, for commercial purposes, to train other models, or to retrieve replies in an automated way;
- attempt to bypass security, usage limits, the paywall, the safety classifier or the model’s system instructions (prompt injection);
- decompile the App, interfere with its operation or access other users’ data;
- use the App on behalf of a minor or make it available to a minor.
Breaching these rules may lead to suspension or deletion of the account (section 14). We do not monitor entry content to enforce these rules; automated risk classification serves only to show you helpline numbers.
10. Your content
- The Content you write remains yours. We claim no rights to it beyond the licence below.
- You grant the Operator a non-exclusive, royalty-free licence to store, process and transmit Content to the providers listed in the Privacy Policy solely to the extent needed to provide the Service to you: generating replies, memory, summaries and reminders. The licence ends when you delete the Content or the account, subject to backups removed in the provider’s cycle.
- We do not use your Content to train models or for marketing, and we do not share it with other users.
- You may use AI Content generated from your Content for your own non-commercial purposes, including sharing summaries with others.
11. Intellectual property
The App, its code, design, the Nel name, the Nel character, graphics, course and quiz content are protected by copyright and other intellectual property rights and belong to the Operator or its licensors. You receive a non-exclusive, non-transferable licence to use the App on your own devices for the duration of the contract, within these Terms and the Store’s terms.
12. AI-generated content
- AI Content is produced automatically by statistical models. It may be inaccurate, incomplete, outdated or wrong, and may not reflect the Operator’s views.
- AI Content is not medical, psychological, legal, financial or any other professional advice. Decisions about health, treatment, relationships and finances are yours to make, alone or with the appropriate professionals.
- Nel may “remember” a fact incorrectly or miss it. That is why memory is visible and editable; we encourage you to review it.
- We make efforts to have Nel reply respectfully and safely, including safety instructions and an independent risk classifier. None of these safeguards is infallible.
13. Availability, changes and updates
- We aim for round-the-clock availability but do not guarantee uninterrupted service. Interruptions may result from maintenance, provider outages (including the AI model provider) or force majeure. We announce planned longer interruptions in the App.
- We supply the updates needed to keep the Service in conformity with the contract, including security updates, for the duration of the Subscription. The App may download minor updates automatically; larger ones require installation from the Store. If you do not install an update we have informed you about, we are not liable for the resulting lack of conformity.
- We may develop and change the Service’s features, including the AI models used, provided this does not reduce the quality of the Service. We will inform you in advance of a material change that negatively affects access or use; you may then terminate the contract free of charge within 30 days of the notice, with a refund for the unused period.
14. Termination
- You can terminate the contract at any time by deleting your account in the App or by e-mail request. To avoid further charges, also turn off Subscription renewal in the Store.
- We may suspend or delete an account if you grossly or persistently breach section 9, if the account belongs to a minor, if the law requires it, or if we have to discontinue the Service. Before suspension we will ask you to stop the breach, unless it is obvious and serious. You may appeal through the complaints procedure.
- If the Operator discontinues the Service, we will give at least 30 days’ notice, provide a copy of your data on request and refund the proportional part of the fee for the unused Subscription period, in cooperation with the Store.
15. Complaints
- Complaints about the Service can be sent to dgcecomapps@gmail.com or in writing to the address in section 2. Include the account e-mail, a description of the problem and, if possible, the date and screenshots.
- We respond within 14 days of receipt. No response within that period means the complaint is accepted.
- Complaints about the payment itself (wrong charge, double charge) are handled by the Store; we will help you contact it.
16. Liability
- Towards Consumers the Operator is liable for lack of conformity of the Service under the Polish Consumer Rights Act and the Civil Code. Nothing in these Terms excludes or limits rights you have under mandatory law.
- The Operator is not liable for the consequences of decisions made on the basis of AI Content, provided it exercised the due care described in section 12, nor for third-party services (Store, sign-in provider, network carrier) beyond its control.
- Towards Users who are not Consumers, the Operator’s liability is limited to actual damage and to the fees paid for the Service in the 12 months preceding the event, excluding damage caused intentionally.
17. Out-of-court dispute resolution
Consumers may use out-of-court complaint and redress procedures, including the help of a municipal or district consumer ombudsman, consumer organisations, mediation or the consumer arbitration court at a regional inspectorate of the Trade Inspection in Poland. Information: uokik.gov.pl. Use of these procedures is voluntary for both parties.
18. Changes to the Terms
- We may change these Terms for important reasons: changes in law, in the scope or manner of providing the Service, in providers, for security reasons or to clarify provisions.
- We will inform you of a change in the App or by e-mail at least 14 days before it takes effect. If you do not accept the change, you may terminate the contract before that date at no extra cost. Continued use after the change takes effect means acceptance.
- Changes do not affect rights acquired during a current, paid Subscription period.
19. Governing law and final provisions
- These Terms are governed by Polish law. For Consumers habitually resident in another EEA country, this choice does not deprive them of the protection of the mandatory provisions of that country.
- Disputes with Consumers are decided by the courts of general jurisdiction. Disputes with Users who are not Consumers are decided by the court competent for the Operator’s seat.
- If any provision of these Terms is invalid, the remaining provisions remain in force.
- These Terms were drawn up in Polish. The English version is provided for convenience; in case of discrepancy the Polish version prevails.
- The Privacy Policy forms an integral part of these Terms.
